Welcome to Compannio.

These Terms & Conditions ("Terms") govern your access to and use of the Compannio website, application, platform and related services ("Platform").

By accessing the Platform, creating an account, requesting or accepting a booking, or using any Compannio service, you agree to these Terms.

If you do not agree with these Terms, please do not use the Platform.

1. About Compannio

Compannio is a technology-enabled platform that facilitates connections between individuals seeking companionship ("Customers") and individuals offering companionship services ("Companions").

Depending on the service model applicable at the time of booking, Compannio may act as a platform facilitating the connection, booking, communication and payment between Customers and Companions.

Compannio does not provide medical treatment, nursing, professional healthcare, transportation, security services or other regulated professional services unless expressly stated.

2. Eligibility

Customers must provide accurate information and must meet the minimum age requirements specified by Compannio.

Companions must satisfy Compannio's onboarding, verification and eligibility requirements.

Compannio may refuse, suspend or terminate access where information is inaccurate, misleading or where safety or policy concerns arise.

3. Booking a Companion

Customers may submit a request by providing details such as:

Service required

Date and time

Location

Duration

Person being accompanied

Special requirements or relevant information

A booking is confirmed only after Compannio communicates confirmation through the Platform or another authorised channel.

Availability of a particular Companion is not guaranteed until confirmation.

4. Transportation Policy — IMPORTANT

Companion's Travel to the Customer

The Companion will ordinarily travel to the agreed meeting point/location at the Companion's own cost and using their own means of transportation.

Transportation After Meeting

From the agreed meeting point onwards, transportation required for the Customer and Companion during the booking must be arranged and paid for by the Customer, unless expressly agreed otherwise in writing.

This may include, where applicable:

Auto-rickshaw

Taxi/cab

Public transport

Private vehicle

Other agreed means of transportation

The Companion is not required to use their personal vehicle for transporting a Customer.

Any transportation arrangements must comply with applicable law and Compannio's safety policies.

Suggested customer-facing wording:

"Your Companion will travel to the agreed meeting point at their own cost. From there onwards, if transportation is required during the booking, the Customer is responsible for arranging and paying for transportation for the Customer and Companion."

This information will be displayed clearly before booking.

5. Nature of Companionship

Companionship may include activities such as:

Accompanying a Customer to an appointment

Shopping

Walking

Social interaction

Attending events

Local journeys

Accompanying a family member

Other permitted companionship activities

Companionship does not automatically include:

Medical treatment

Nursing

Medical diagnosis

Administration of medication

Physical restraint

Personal care requiring professional qualifications

Financial management

Handling of confidential financial information

Driving the Customer

Any unlawful activity

Additional services may be offered only where expressly authorised by Compannio.

6. Hospital and Medical-Related Bookings

Compannio companions may accompany Customers to hospitals, clinics or appointments for companionship and general assistance.

Companions are not medical professionals merely by virtue of being registered on Compannio.

Customers must not rely on a Companion for medical advice, diagnosis, treatment or emergency medical care.

In an emergency, Customers must contact the appropriate emergency services or medical professionals.

7. Customer Responsibilities

Customers agree to:

Provide accurate booking information.

Treat Companions respectfully.

Provide a safe meeting environment.

Follow Compannio's Community & Safety Guidelines.

Not request prohibited services.

Not engage in harassment, discrimination, violence or sexual misconduct.

Arrange required transportation after the agreed meeting point.

Make payments through authorised Compannio channels.

Inform Compannio of relevant circumstances that may affect the safety of the booking.

8. Companion Responsibilities

Companions agree to:

Provide accurate personal and profile information.

Complete required verification.

Follow Compannio's Community & Safety Guidelines.

Treat Customers respectfully.

Maintain appropriate professional boundaries.

Not request unauthorised payments.

Not engage in harassment, discrimination, violence or sexual misconduct.

Not provide services outside the agreed booking without appropriate approval.

Report safety incidents promptly.

9. Prohibited Activities

The Platform must not be used for:

Sexual services or solicitation.

Escort or prostitution-related activities.

Illegal activities.

Violence or threats.

Harassment or stalking.

Fraud or deception.

Gambling or unlawful financial transactions.

Possession or transportation of illegal substances.

Weapons-related activities.

Unauthorised professional medical services.

Any activity prohibited by applicable law.

Compannio may immediately suspend or terminate accounts involved in prohibited activities.

10. Payments and Fees

Customers must pay applicable charges through the payment methods authorised by Compannio.

Prices may vary according to service type, duration, location, demand and other applicable factors.

Compannio may charge a platform/service fee as disclosed before booking.

Customers should not make cash or direct payments to Companions outside the authorised process unless specifically permitted by Compannio.

11. Cancellation and Refunds

Bookings may be cancelled subject to the cancellation and refund policy displayed at the time of booking.

Where a Companion cancels, fails to attend or Compannio is unable to fulfil a confirmed booking, the Customer may be eligible for a refund or alternative arrangement in accordance with the applicable policy.

12. Ratings and Reviews

Customers and Companions may be permitted to provide ratings and reviews.

Reviews must be truthful, relevant and respectful.

Compannio may remove reviews that are abusive, fraudulent, discriminatory, misleading or otherwise violate these Terms.

13. Safety

Compannio takes reasonable measures intended to promote safety on the Platform.

Depending on the service and operational stage, these may include identity verification, profile review, reporting mechanisms, booking records and other safety measures.

No online platform can guarantee that every interaction will be completely risk-free.

Customers and Companions should exercise reasonable care and report safety concerns immediately.

14. Personal Information

Compannio collects and processes personal information in accordance with its Privacy Policy and applicable Indian data-protection laws.

Users should review the Privacy Policy before using the Platform.

15. Suspension and Termination

Compannio may suspend, restrict or terminate an account where it reasonably believes that:

These Terms have been violated.

Safety is at risk.

False information has been provided.

Fraudulent activity has occurred.

Prohibited activity has occurred.

The Platform has been misused.

16. Intellectual Property

The Compannio name, logo, website, application, content, design, software and related intellectual property belong to Compannio or its licensors.

Users may not copy, reproduce, modify, distribute or commercially exploit Compannio's intellectual property without prior written permission.

17. Third-Party Services

The Platform may integrate third-party services such as payment gateways, communication tools, mapping services or other technology providers.

Such services may be subject to their own terms and policies.

18. Limitation of Liability

To the maximum extent permitted by applicable law, Compannio will not be responsible for losses arising from circumstances beyond its reasonable control or from independent acts or omissions of Customers or Companions.

Nothing in these Terms is intended to exclude or limit liability that cannot legally be excluded or limited under applicable law.

19. Indemnity

To the extent permitted by applicable law, a user may be required to indemnify Compannio against claims, losses or expenses arising from the user's unlawful conduct, violation of these Terms, misuse of the Platform or infringement of another person's rights.

20. Changes to These Terms

Compannio may update these Terms from time to time.

Updated Terms will be published on the Platform with the revised effective date.

Continued use of the Platform after an update may constitute acceptance of the revised Terms, subject to applicable law.

21. Governing Law

These Terms shall be governed by the laws of India.

Any disputes shall be subject to the jurisdiction of the courts having appropriate jurisdiction over the matter, subject to applicable law.
